E.ON: buoni progressi nel processo di integrazione con innogy

12/11/2018 - E.ON e innogy hanno preso le prime importanti decisioni riguardanti il futuro brand E.ON, l’organizzazione societaria e le attività innovative. Queste decisioni saranno messe in pratica dopo la chiusura dell’acquisizione, che è soggetta all’approvazione delle autorità antitrust e regolatorie competenti, e fino alla quale le due aziende resteranno indipendenti.

La nuova azienda manterrà il nome di E.ON e beneficerà dei punti di forza della cultura aziendale di innogy. Il team dedicato al processo di integrazione sta valutando come rafforzare il corporate branding e l’employer branding di E.ON, assimilando le esperienze di successo di innogy in questi ambiti e sta anche preparando una brand architecture dettagliata.

La nuova E.ON continuerà a dare un importante contributo al successo della transizione energetica e alla tutela dell’ambiente in Europa, uno scopo per il quale rafforzerà ulteriormente la propria componente innovativa: sarà infatti istituito un team dedicato presso la Sede centrale, che lavorerà trasversalmente in diversi settori e su diversi prodotti e che riporterà direttamente all’Amministratore Delegato.

E.ON e innogy hanno anche concluso la validazione delle stime iniziali del potenziale sinergico delle due aziende, stimato tra i 600 e gli 800 milioni di Euro a partire dal 2022. L’intero processo di integrazione viene portato avanti con pieno senso di responsabilità sociale, in linea con quanto fatto in passato.

First major decisions made regarding the planned integration of innogy into E.ON and the new company’s intended future organization
New company to be called E.ON 
E.ON regional suppliers and innogy regional companies to retain their structure
Organizational setup will remain customer-centric and be even more innovative E.ON and innogy have made the first major decisions regarding the plans for EON’s future brand, organizational setup, and innovation activities. These decisions are to be implemented after the closing of the transaction, which is subject to the approval of the relevant antitrust and regulatory agencies. The new company will retain the name E.ON and benefit from the strengths of innogy’s corporate culture. The integration planning team is exploring how to further enhance E.ON’s corporate and employer brand, including by drawing on innogy’s positive experiences. In addition, a detailed brand architecture is being prepared.

The structures of the German E.ON regional suppliers and the German innogy regional companies are to be retained. A structure comparable to E.ON's regional utilities is to be established in innogy's core supply area. For this purpose, innogy’s concession business Westnetz, its shareholdings in municipal utilities and its co-operations with municipalities will be integrated. The objective is for operating units to continue to have as much room for maneuver and to be as close to customers as possible. This is why the corporate headquarters will be set up to primarily focus on key management tasks.

The new E.ON wants to make an important contribution to the success of the energy transition and to climate protection in Europe. For this purpose, it will further enhance its innovative strength. It therefore intends to establish an innovation team at corporate headquarters that reports to the CEO and that works across the company’s product ranges and markets.

In addition, E.ON and innogy have completed an initial validation of the previously identified €600 to €800 million in synergy potential starting from 2022 onward. The entire planned integration will be carried out in a socially responsible manner, in keeping with the strong tradition of the companies involved. For this reason, innogy, E.ON and RWE, in consultation with their Group Works Councils, reached an Agreement in Principle on Collective Bargaining for Germany with the unions ver.di and IGBCE in May.
